GENERAL TERMS AND CONDITIONS OF SALE
of SL Digt@l Agility
1. Purpose and scope :
These General Terms and Conditions of Sale (GTCS) aim to define the terms and conditions under which SL Digit@l Agility, registered in the Paris Trade and Companies Register under the number 930 286 919 00012, headquartered in Paris, provides digital marketing services to companies. They apply to all services provided to clients, regardless of their industry.
2. Order and service confirmation :
Any order placed by the Client implies full and complete acceptance of these GTCS. The order is confirmed upon receipt by SL Digit@l Agility of an order form or written validation. No work will begin before the order confirmation and the payment of the deposit as specified in Article 3. Any additional service request can be confirmed by simple email exchange between the parties, which will serve as confirmation of the applicable terms for the new service.
3. Service execution conditions :
SL Digit@l Agility commits to collaborating closely with the Client to ensure their expectations are met during the service delivery. The Client is encouraged to provide clear and precise instructions from the start and throughout the project.
Modifications :
The Client is entitled to a maximum of 3 revisions on any deliverable submitted for approval, whether it is:

Content adjustments (texts, visuals, minor SEO, links, layout)

Revisions of email campaigns (content changes, audience segmentation, or objectives post-launch)

Minor branding adjustments
These modifications must be requested within 7 days of each version's delivery.
Additional costs :
Any major or additional modification request, such as marketing strategy overhaul, complete redesign of web pages or advertising campaigns, significant branding changes, or new content creation not initially planned (blog posts, infographics, videos), may incur additional charges. The amount of these fees will be communicated to the Client and subject to approval before implementation. This approach ensures a smooth collaboration while optimizing resource management.
4. Prices and payment terms :
The prices for the services are provided to the Client in a detailed quote and are valid for 30 days. A 30% deposit is required upon order confirmation. The balance is payable upon receipt of the final invoice.Invoices are due upon receipt and no later than 30 days. Late payments will incur penalties at a rate equivalent to 10% of the total amount due, starting from the first day of delay. A flat recovery fee of €40 will also be applied.SL Digit@l Agility reserves the right to suspend ongoing services until full payment is received.
5. Price revision :
SL Digit@l Agility reserves the right to revise its rates annually. Any price revision will be notified to the Client with a 2-month notice. In case of disagreement with the price change, the Client may terminate the contract without any charge within 30 days of receiving the notification.
6. Service delivery deadlines :
Service delivery timelines are indicative and may be adjusted based on the Client’s needs. They can also be discussed in advance between SL Digit@l Agility and the Client to agree on a schedule that considers each party’s constraints. Delivery timelines also depend on access to necessary tools and the Client’s subscription to certain tools not covered by SL Digit@l Agility.Additionally, the Client agrees to provide the necessary information, such as existing contacts for targeted campaigns and details about their solutions, including their benefits and use cases, to create suitable content. SL Digit@l Agility will not be held responsible for delays caused by the Client’s failure to provide required elements. In case of significant delays, SL Digit@l Agility reserves the right to charge additional fees or suspend services.
7. Client's obligations and responsibilities :
The Client agrees to collaborate with SL Digit@l Agility by providing clear, timely instructions and relevant information for the successful execution of services. Failure to provide the necessary elements may lead to delays, for which SL Digit@l Agility cannot be held liable.
8. Limitation of liability :
SL Digit@l Agility commits to providing services in line with industry standards and best practices. However, SL Digit@l Agility cannot guarantee specific results, such as immediate SEO rankings or a certain level of return on investment.SL Digit@l Agility will not be held liable for indirect, immaterial, or special damages, such as loss of revenue, profits, or data. In any case, SL Digit@l Agility's liability is limited to the total amount paid by the Client for the services concerned within the 6 months preceding the claim.
9. Force majeure and service suspension :
SL Digit@l Agility will not be held responsible for the non-performance or interruption of services due to circumstances beyond its control, such as natural disasters, strikes, power outages, major infrastructure failures, or prolonged unavailability of third-party platforms (e.g., Facebook, Google, Instagram) essential to the services. These unforeseeable and irresistible events constitute cases of force majeure.In the event of force majeure, services will be temporarily suspended without the Client being entitled to claim penalties or compensation. Execution timelines will be extended by a period equivalent to the suspension. SL Digit@l Agility will notify the Client as soon as possible of the occurrence of such an event and the resumption of services.If the force majeure situation persists beyond 30 days, the parties may renegotiate the contract terms, including objectives, deadlines, and costs.
10. Intellectual property and usage rights :
The deliverables provided by SL Digit@l Agility, including but not limited to content, strategies, reports, designs, and any other material created during the services, remain the exclusive property of the Provider until full payment of the amounts due by the Client.Upon full payment, the Client acquires the rights to use the deliverables, including rights of use, adaptation, and distribution, for commercial purposes without restriction.
11. Confidentiality and non-solicitation :
The Client agrees not to disclose or exploit, for personal or commercial purposes, any confidential information provided by SL Digit@l Agility.The Client also agrees not to solicit or hire any SL Digit@l Agility employee or subcontractor without written consent, for a period of 12 months following contract termination. In case of breach, a compensation of 6 months' gross salary for the affected employee will be required.
12. Termination and notice :
The Client may terminate the contract at any time with a 30-day notice, subject to the payment of services rendered and costs incurred by SL Digit@l Agility. In case of early termination without a valid reason, 30% of the remaining contract balance will be due. SL Digit@l Agility may terminate the contract for non-payment after a 30-day grace period.
